Your Very Own In-House General Counsel

I am the in-house corporate general counsel for entrepreneurs and their small, medium and large size business who do not need full-time attorney is the other significant portion of my law practice.

I counsel real estate, technology, hotel, retail, service, franchise and general corporate clients doing business nationally and internationally when in need of trusted expertise, experience and effective solutions in their ongoing business enterprises.

Many business challenges come fast and as issues of first impression to many clients. The broadness and depth of issues I have helped clients address over the years help me craft creative, innovative, effective and efficient solutions for you on an ongoing basis.

Some challenges and issues at times reach beyond by specialties and expertise. I routinely retain, monitor and direct all of work of national and international outside counsel for clients when extra help and expertise are needed to complete the task.

My arrangements for services are flexible as your circumstances require.  We can work together by single engagement, a project basis or a periodic or regular retainer matching accessibility and response times to meet your needs.  In the past, I have also joined clients as a temporary in-house resource when dedicated and intense assistance is required for short periods of time.

My In-House Counsel Services:

  • Develop and review corporate organization, governance and compliance policies and procedures.
  • Review documents prepared by clients, such as statements of work, service level agreements, pricing schedules, employee policies, business development and acquisition strategies.
  • Assess risk management and develop, implement and update risk management systems and task assignments.
  • Draft, review and negotiate agreements in all commercial fields including mergers and acquisitions;  real estate development, exchanges  and leases; financing; purchase, vendor, distribution and maintenance agreements; licensing of intellectual property; strategic alliances;  government purchase contracts; organizational  documents; and employment and executive compensation.
  • Manage clients' intellectual property portfolio including U.S. and foreign patents, trademarks and copyrights.
  • Oversee and assist on litigation, disputes, employment, risk assessment, arbitration and federal, state and local regulatory matters.
  • Retain, monitor and direct all of work of national and international outside counsel for clients.
